Jonathan H. Talcott is the managing partner and head of the corporate team in the Washington, D.C. office of Nelson Mullins Riley & Scarborough LLP. He counsels financial services companies, including banks, thrifts, mortgage companies, mortgage REITs, business development companies, investment banks, and financial technology companies. Mr. Talcott's practice focuses on mergers and acquisitions and securities offerings.
Mr. Talcott has worked on a variety of public and private securities offerings, including initial public offerings, secondary offerings of common stock, senior subordinated and high-yield debt offerings, and trust preferred securities offerings. He has worked on more than 100 offerings raising in excess of $10 billion during the course of his career. The private securities offerings include those conducted under Rule 144A and Regulation D with a particular emphasis on Rule 144A debt and equity offerings. He regularly represents investment banks when they are acting as underwriter, initial purchaser or placement agent in the securities offering process.
Part of his practice also focuses on venture capital investments by private equity funds and by public corporations. Usually these investments are being made in financial services or financial technology companies. Similarly, Mr. Talcott has assisted in the formation of several financial services companies including de novo banks, thrifts, mortgage companies and financial technology companies.
Mr. Talcott regularly appears before the federal and state bank regulatory agencies and the U.S. Securities and Exchange Commission. Besides counseling institutions in connection with the merger or offering process, he also assists institutions with quarterly and annual filings and with occasional regulatory problems.
He is a frequent lecturer and author on legal matters facing the financial services industry.
Mr. Talcott earned a juris doctor from the University of Virginia School of Law in 1989 where he was Notes Editor of the Virginia Journal of International Law. He earned a bachelor's degree, with honors, from the
