Nelson Mullins' Atlanta Team Represents Pentwater in Proxy Contest
SAN DIEGO– Atlanta partners Rusty Pickering and Charles Vaughn along with associate Steve Park recently assisted Pentwater Capital Management LP, a $1.7 billion Chicago-based hedge fund, in its proxy contest to elect directors to the board of Leap Wireless International, Inc. at its 2011 annual stockholders meeting. Before the meeting, Pentwater and Leap entered into a settlement pursuant to which Leap agreed to seat two of Pentwater's three director nominees on the Leap board and partially reimburse Pentwater for its fees and costs.
The Atlanta attorneys managed the legal aspects of the proxy contest against Leap Wireless, which was represented by Wachtell, Lipton, Rosen & Katz, one of the premier law firms in this arena. "It was a hard fought contest. Our team worked tirelessly to prepare and file the proxy materials and fight letters and to respond to comments received from the SEC. The credit for the success of the bid goes to Pentwater and its management team, whose strategy won the support of ISS and key institutional stockholders." Mr. Pickering said.
